Who we are

SceneAlly (we, us, our) refers to Edo Makich Solutions, LLC, operating the Platform under the SceneAlly brand.

What SceneAlly is (and is not)

SceneAlly is a discovery and direct-contact platform connecting:

• Creators with shoot locations (Rental Scenes) and creator opportunities (Creator Drops)
• Homeowners/Hosts who list Rental Scenes
• Businesses who list as Partner Businesses to connect with creators for promos, paid UGC, affiliate deals, product placement, event invites, collaborations, and partnerships

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

Accounts and security

You may need an account to use certain features. You agree to:

• provide accurate, current information
• keep your login credentials confidential
• promptly notify us of any unauthorized use of your account

You are responsible for all activity under your account.

Listings, profiles, and user content

User Content includes listings, profiles, photos, descriptions, links, messages, and any other content you submit.

5.1 Your responsibility

You are solely responsible for your User Content and for your interactions and dealings with other users. You represent and warrant that:

• you own or have all necessary rights/permissions to post your User Content
• your User Content is accurate and not misleading
• your User Content does not violate any law or any third-party rights (including privacy, publicity, copyright, and trademark)

5.2 Public visibility

Listings are intended to be publicly viewable. Do not post information you do not want to be public. SceneAlly is not responsible for how others may copy, share, scrape, store, or use public content.

5.3 License to SceneAlly

You grant SceneAlly a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, and modify your User Content only as necessary to operate, promote, secure, and improve the Platform (including displaying listings publicly).

5.4 Removal and moderation

We may remove, reject, or restrict any User Content or account at any time for any reason, including quality control, safety, legal compliance, or suspected violations, without liability for resulting losses.

Messaging and communications

The Platform may provide messaging tools. You understand and agree:

• delivery is not guaranteed (e.g., spam filters, provider policies, outages, user settings)
• you are responsible for the content of your communications
• any off-platform contact or transactions are at your own risk

Paid listing plans, fees, and refunds

Certain features require purchase of a listing plan (such as publishing and maintaining listings).

7.1 Payments and processors

Checkout and payment processing may be provided through third-party services such as WooCommerce and Stripe. SceneAlly does not store full payment card numbers.

7.2 Fees are for access/visibility, not outcomes

Fees are paid for the ability to publish and maintain listings and related platform access. Fees are not tied to outcomes (including bookings, collaborations, earnings, exposure, lead volume, or response rates).

7.3 Refund policy

All fees are non-refundable except where required by law or expressly stated by SceneAlly in writing. If your account or listing is removed for violations or misuse, you forfeit any fees paid, to the maximum extent permitted by law.

7.4 Taxes and compliance

You are solely responsible for all taxes, permits, insurance, releases, and compliance obligations related to your activities, including local rules, zoning/HOA rules, and any legal requirements related to filming, events, property use, advertising, or promotions.

7.5 Chargebacks and fraud

We may suspend accounts, remove listings, and contest chargebacks where we believe a purchase was valid, or where fraud/abuse is suspected.

Prohibited conduct

You agree not to:

• violate any law or third-party rights
• post illegal, deceptive, defamatory, harassing, or abusive content
• impersonate others or misrepresent affiliation
• post private information of others without permission
• scrape, harvest, or mass-collect data (including emails/phone numbers) without written permission
• spam users or send unsolicited marketing
• attempt to bypass access controls or interfere with Platform operation
• upload malware or exploit vulnerabilities

Violations may result in suspension or termination.

No verification, no endorsement, no agency

SceneAlly is not an agent, broker, insurer, employer, or partner of any user. We do not verify identities, ownership, permits, insurance, compliance, or the accuracy of user statements, and we do not guarantee the safety, legality, or suitability of any listing or collaboration. Users must conduct their own due diligence.

Safety and assumption of risk

You assume all risks associated with meeting people, visiting locations, filming, collaborating, or transacting off-platform. Use common-sense safety practices and appropriate written agreements, releases, insurance, and secure payment methods.

Intellectual property

The Platform and its design, branding, and materials (excluding User Content) are owned by SceneAlly or its licensors and are protected by intellectual property laws. You may not copy, modify, or use them without permission.

Third-party services disclaimer

The Platform relies on third-party software and infrastructure (including WordPress, HivePress, Elementor, and hosting/email providers such as Hostinger). We do not control third-party services and disclaim liability for failures, outages, or security incidents originating from third-party services to the maximum extent permitted by law.

Disclaimer of warranties

THE PLATFORM IS PROVIDED AS IS AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UPTIME, DELIVERY OF MESSAGES, LEAD VOLUME, OR ANY OUTCOMES.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENEALLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA/GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO SCENEALLY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
• $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless SceneAlly from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of:

• your use of the Platform
• your User Content
• your interactions or transactions with others
• your violation of these Terms or applicable law

Termination

We may suspend or terminate your access at any time for any reason, including violations, risk, abuse, fraud, or safety concerns. No refunds are owed where permitted by law.

Dispute resolution and arbitration; class action waiver

Except for claims eligible for small claims court, any dispute arising out of or relating to the Platform or these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules.

You and SceneAlly waive the right to a jury trial and agree that disputes will be brought only on an individual basis. Class actions and representative proceedings are not permitted.

Arbitration may be conducted remotely or in California.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Changes to these Terms

We may update these Terms at any time. Changes take effect when posted. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
