SCENEALLY – TERMS & CONDITIONS

1. Acceptance of Terms

By accessing, viewing, or using SceneAlly.com (“SceneAlly,” “the Platform,” or “the Service”), you are entering into a legally binding agreement and agree to be bound by these Terms & Conditions (“Terms”).

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

SceneAlly reserves the right, at its sole discretion, to modify or replace these Terms at any time. Any modifications become effective immediately upon being posted on the Platform. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes.

2. User Eligibility

The Platform is intended solely for users who are 18 years of age or older. By accessing or using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. Any access or use by anyone under 18 is strictly prohibited and a violation of these Terms.

3. The Nature of the Platform

SceneAlly is strictly a listing, discovery, and communication platform designed to connect people who own spaces (“Owners”) with people who wish to use them for creative purposes (“Creators”). SceneAlly is fundamentally an online classifieds service.

SCENEALLY DOES NOT:

Arrange, manage, or guarantee bookings or rental contracts.
Process or handle any payments between Users.
Perform any background checks, criminal checks, credit checks, or identity checks on Users.
Verify the identity, background, property ownership, insurance coverage, or legal compliance of any User or listing.
Guarantee the safety, quality, or accuracy of listings, photographs, or descriptions.
Oversee, inspect, or monitor any activities, filming, or shoots taking place on any property or Scene.

Users communicate and transact entirely at their own risk.

4. Users of the Platform

There are two primary user types, both of whom are entirely responsible for their own actions and outcomes:

a) Owners (Listing Providers): Individuals or businesses who list properties, vehicles, or spaces (“Scenes”) for potential creative use.
b) Creators (Guests, Renters, or Visitors): Individuals or businesses looking to view and contact Owners for potential shoots or content creation.

SceneAlly does not guarantee: Bookings, earnings, exposure, user reliability, user behavior, availability of listings, or the safety of any interaction or transaction.

5. Platform Fees

SceneAlly charges Owners a non-refundable fee to publish and maintain listings on the Platform.

These fees are paid solely for the placement and visibility of the listing.
Fees are non-refundable and are not tied to any booking, transaction, or outcome.
In the event a listing or account is terminated by SceneAlly due to a violation of these Terms or for misconduct, no portion of the listing fee will be refunded.
SceneAlly does not take any percentage or commission from bookings. All Creator–Owner payments occur off-platform.

6. Taxes and Regulatory Responsibility

Users are solely responsible for all tax liabilities and governmental regulations related to their activities on the Platform.

Tax Liability: Owners are exclusively responsible for determining, collecting, reporting, and remitting any sales tax, VAT, income tax, occupancy tax, or any other duties or governmental charges arising from their transactions with Creators.
Permits and Compliance: Users (both Owners and Creators) are solely responsible for obtaining all necessary permits, licenses, insurance, and adhering to all local, state, and federal laws, zoning regulations, and HOA rules related to the use and rental of a Scene.

7. No Endorsement, Agency, or Guarantee

SceneAlly is not an agent, insurer, or broker for any User.

No Agency Relationship: These Terms do not create any agency, partnership, joint venture, franchise, or employment relationship between SceneAlly and any User.
SceneAlly does not endorse any User, listing, or any statements made on the Platform.
SceneAlly does not confirm that properties are safe, legal, or compliant with local laws for their listed use.
Users must perform their own comprehensive due diligence, including verifying identity, ownership, insurance, addresses, permits, and property conditions.
SceneAlly is not responsible for any damage or loss resulting from reliance on information provided by another User.

8. No Professional Advice Provided

SceneAlly does not provide legal, tax, financial, real estate, insurance, safety, or professional advice. All information provided on the Platform (including general safety tips or suggestions) is for informational purposes only. You agree that you are solely responsible for seeking professional advice regarding permits, zoning, safety, and legal compliance for any activity associated with the Platform.

9. User Responsibilities & Safety

Users agree to conduct all off-platform communications and interactions with the highest degree of caution and professionalism. Users agree to:

Verify the identity and qualifications of the other party.
Meet in safe, public locations (if necessary) and use secure payment methods.
Follow all local, state, and federal laws and ordinances.
Perform property inspections, confirm permissions, and secure all required insurance coverage.
Communicate professionally and treat all third parties and property with respect.
Never rely on SceneAlly for verification, screening, or safety assurance.

10. Listings & User Content

Users may upload descriptions, photos, pricing, rules, and contact information (collectively, “User Content”).

a) License Grant: By uploading User Content, you grant SceneAlly a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to display, reproduce, modify, host, distribute, and publicly perform the content solely for the purpose of operating, improving, and promoting the Platform and the Service.
b) Content Standards: You warrant that your User Content will not: (i) infringe any third-party rights (copyright, trademark, privacy, publicity); (ii) be illegal, fraudulent, misleading, or false; or (iii) contain any inappropriate, discriminatory, or offensive material.
c) Content Liability: You assume all liability for the content you post and agree that SceneAlly is a passive conduit for its distribution.
d) Right to Modify and Remove: SceneAlly reserves the absolute right—but has no obligation—to modify, remove, or reject any listing or User Content for any reason, without notice or liability for any resulting loss or damage incurred by the User.

11. No Liability for Interactions Between Users

Users expressly understand and agree that all risks associated with communication, meetings, bookings, property access, or transactions are solely yours. You understand that SceneAlly does not create, control, or review User Content before it is displayed and is not responsible for monitoring Users or their conduct.

SceneAlly is expressly relieved of responsibility and liability for, but not limited to:

Property damage or vandalism.
Theft, injury, or death.
Fraud, misrepresentation, or breach of contract.
Cancellations, no-shows, or weather conditions.
Misconduct or illegal activity of any User.
Disputes, disagreements, or emotional distress.
Lost income or failure to deliver a usable space.

12. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE,” without any representations or warranties of any kind, whether express or implied. SceneAlly does not guarantee continuous or uninterrupted service and is not liable for outages, downtime, or data loss.

SCENEALLY DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING, BUT NOT LIMITED TO:

Merchantability.
Fitness for a particular purpose.
Non-infringement.
Accuracy of listing information.
Continuous availability or uptime.
Security, reliability, or quality of the Platform.

Users assume the entire risk associated with using the Platform and any interactions resulting from its use.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SceneAlly shall not be liable for any damages arising out of your use or inability to use the Platform.

IN NO EVENT SHALL SCENEALLY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED FIFTY U.S. DOLLARS ($50.00).

SceneAlly shall not be liable for direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, personal injury, property damage, interruption of service, or emotional distress, even if SceneAlly has been advised of the possibility of such damages. Your sole and exclusive remedy for any dissatisfaction with the Platform or these Terms is to stop using the Platform.

14. Indemnification

You agree to defend, indemnify, and hold harmless SceneAlly and its owners, employees, agents, officers, and affiliates from and against any and all claims, damages, losses, liabilities, fines, penalties, legal fees, or demands (including those brought by third parties) arising from or related to:

Your Listings or User Content.
Your violation of these Terms or any applicable law.
Your interactions with other Users or third parties.
Misconduct, property use, injuries, or damages caused by you or your affiliates during an interaction facilitated by the Platform.

You agree to cover SceneAlly’s legal costs and expenses if the company is sued because of your actions or omissions.

15. Termination

SceneAlly may suspend or delete any account, listing, or access to the Service at any time, for any reason or no reason, without notice, including but not limited to:

Violations of these Terms or the spirit of the Platform.
Fraud, abuse, or spam.
Low-quality or inaccurate listings.
Unsafe, inappropriate, or illegal conduct.
User complaints or suspicion of criminal activity.
The determination that a user is a repeat copyright infringer, in accordance with our Copyright/DMCA Policy.

No refunds will be provided for terminated listings or services if termination is for cause (i.e., a violation of these Terms).

16. Intellectual Property

The SceneAlly name, logos, branding, features, and design are the proprietary intellectual property of the Platform and may not be copied, used, or reproduced without explicit written permission. User Content remains the property of the User, subject to the license granted in Section 10.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflicts of law principles.

18. Mandatory Arbitration (AAA)

Any dispute, claim, or controversy arising out of or relating to SceneAlly or these Terms shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

YOU AND SCENEALLY MUTUALLY AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Arbitration shall take place on an individual basis.
The arbitration shall be conducted in Delaware or remotely at SceneAlly’s discretion.
The Arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

19. Legal Entity Identification

For legal and operational purposes only, “SceneAlly,” “the Platform,” “the Company,” “we,” and “us” refer to a U.S.-based limited liability company doing business as SceneAlly, which is the sole party to any arbitration or legal disputes governed by these Terms.

20. Miscellaneous

If any section of these Terms is found to be unenforceable, the rest of the Terms shall remain valid and in full effect.
Users may not assign any rights or obligations under these Terms without SceneAlly’s prior written consent. SceneAlly may assign these Terms to an affiliate or successor entity without restriction.
These Terms constitute the entire agreement between SceneAlly and its users.
SceneAlly’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

21. Third-Party Links and Resources

The Platform may contain links or pointers to third-party websites or resources, including those provided by Users. You acknowledge and agree that SceneAlly is not responsible or liable for: (i) the availability or accuracy of such sites or resources; or (ii) the content, products, or services on or available from such sites or resources. Links to third-party sites do not imply any endorsement by SceneAlly of such sites or the information, products, or services available from them. You assume sole responsibility for and assume all risk arising from your use of any such websites or resources.

22. Third-Party Providers and Software Disclaimer

The functionality and operation of SceneAlly rely on software, services, and plugins provided by third parties, including but not limited to Hostinger, WordPress, WooCommerce, Elementor, and HivePress. SceneAlly does not control these third-party services and makes no warranty or representation regarding their reliability, security, or performance. SCENEALLY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY DAMAGES, LOSSES, OR ISSUES ARISING FROM THE FAILURE, MALFUNCTION, OR SECURITY BREACH OF ANY THIRD-PARTY SOFTWARE OR HOSTING SERVICE USED TO OPERATE THE PLATFORM. Your use of the Platform is also subject to the terms and conditions of these third-party providers.

23. Related Policies

Your use of the Platform is also governed by our separate Privacy Policy (which governs our data handling practices) and our Copyright/DMCA Policy (which governs content infringement claims), both of which are fully incorporated by reference into these Terms. By using the Platform, you acknowledge and agree to the terms of these policies.
